Terms of Service
Effective July 16, 2026
These Terms of Service (“Terms”) govern use of the Ascension web application and the Ascension mobile app (together, the “Service”), provided by Ascension Auto Repair LLC (“Ascension,” “we,” “us”). The Service is a workplace tool for auto repair shops (“Shops”) and their staff.
Agreement to these Terms
By creating an account, signing in, or using the Service, you agree to these Terms. If you are using the Service on behalf of a Shop, you represent that you are authorized to bind that Shop, and “you” includes the Shop. If a Shop has a separate written agreement with Ascension, that agreement controls where it conflicts with these Terms.
The Service
The Service helps Shops run their work: digital vehicle inspections, team chat, customer concerns, maintenance guidance, and connections to the Shop’s existing management software. We may improve, add, or remove features over time. The Service is a tool that supports a Shop’s own judgment — repair decisions, estimates, and communications with vehicle owners remain the Shop’s responsibility.
Accounts
You must provide accurate account information and keep your credentials confidential. You are responsible for activity under your account. Access to a Shop’s workspace is controlled by that Shop’s administrators, who may add or remove members. Notify us promptly at the contact address below if you suspect unauthorized use of your account.
Subscriptions and fees
Paid features are provided under the subscription plan a Shop selects, at the fees stated when the Shop subscribes or in the Shop’s agreement with Ascension. Fees are billed in advance, are non-refundable except where required by law, and do not include applicable taxes, which are the Shop’s responsibility. We may change pricing with reasonable advance notice; changes apply from the next billing period.
Acceptable use
You agree not to:
- use the Service in violation of law or the rights of others;
- upload content that is unlawful, infringing, or malicious (including malware);
- attempt to probe, disable, overload, or gain unauthorized access to the Service or its data;
- scrape, bulk-export, resell, or redistribute data made available through the Service outside your Shop’s ordinary use; or
- reverse engineer the Service except where that restriction is prohibited by law.
We may suspend or limit access to protect the Service or its users while we investigate suspected violations.
Your content and shop data
The Shop and its staff own the content they create in the Service (messages, photos, videos, inspection entries, notes) and the repair-order, customer, and vehicle records that flow in from the Shop’s management software. You grant Ascension a limited license to host, process, transmit, and display that content solely to provide and support the Service. Our handling of personal information is described in the Privacy Policy.
Third-party services and vehicle data
The Service relies on third-party providers — cloud hosting, push notification delivery, chat infrastructure, and licensed automotive-data providers for vehicle specifications, maintenance schedules, and labor information. Licensed vehicle data is provided for use within the Service in the ordinary course of a Shop’s business and may not be extracted, compiled, or redistributed outside it. Vehicle data is provided for reference; the Shop is responsible for verifying it against the vehicle being serviced.
Licensed vehicle data — MOTOR Information
Vehicle specifications, maintenance schedules, procedures, fluid data, and labor information in the Service are licensed from MOTOR Information Systems (the “MOTOR Information”). Our agreement with MOTOR requires every user to accept the following terms before accessing MOTOR Information, and by using the Service you agree to them:
License grant. MOTOR grants you a nontransferable, non-exclusive, limited license to access and use the MOTOR Information contained within the Service on a vehicle-by-vehicle look-up basis. This license ends when your access to the Service ends or when our agreement with MOTOR ends, whichever comes first.
Restrictions. You agree that you shall not, and shall not permit any third party to, directly or indirectly:
- alter or copy in any form or medium all or any part of the MOTOR Information (except for data located on an individual, vehicle-by-vehicle, lookup basis), or make any MOTOR Information part of any electronic retrieval system;
- create any derivative work from, or adaptation of, the MOTOR Information;
- lease, license, sell, or otherwise publish, communicate, distribute, or display to any third party in any form or medium all or any part of the MOTOR Information;
- create any publications, in electronic, printed, or other format, based in whole or in part on data from the MOTOR Information, alone or in combination with any other data;
- download the MOTOR Information (other than the data obtained on a vehicle-by-vehicle look-up basis) or transmit the MOTOR Information electronically by any means;
- remove any product identification, copyright, trademark, or other notice from the MOTOR Information or documentation; or
- reverse engineer, reverse assemble, or reverse compile the MOTOR Information.
Ownership and confidentiality. The MOTOR Information is the confidential information of MOTOR, and MOTOR owns or is the subscriber of all rights in the MOTOR Information, including without limitation all copyright and other proprietary rights. You agree to keep the MOTOR Information confidential and to use your best efforts to prevent and protect it from unauthorized disclosure or use.
Intellectual property
Ascension owns the Service, including its software, design, and branding. These Terms grant you a limited, non-exclusive, non-transferable right to use the Service while your subscription or membership is active. Feedback you choose to send us may be used to improve the Service without obligation to you.
Termination
A Shop may stop using the Service at any time; cancellation takes effect at the end of the current billing period. We may suspend or terminate access for material breach of these Terms, non-payment, or where required by law. On termination we will make the Shop’s data available for export for a reasonable period, after which it is deleted or de-identified per the Privacy Policy.
Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE FULLEST EXTENT PERMITTED BY LAW, ASCENSION DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT VEHICLE DATA WILL BE ACCURATE OR COMPLETE FOR EVERY VEHICLE.
Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, ASCENSION WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, OR DATA, ARISING FROM OR RELATED TO THE SERVICE. OUR TOTAL LIABILITY FOR ALL CLAIMS IN ANY TWELVE-MONTH PERIOD WILL NOT EXCEED THE AMOUNTS THE SHOP PAID US FOR THE SERVICE DURING THAT PERIOD. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.
Indemnification
The Shop will defend and indemnify Ascension against third-party claims arising from the Shop’s repair work, its use of the Service in violation of these Terms, or content it submits, except to the extent caused by Ascension’s own breach of these Terms.
Governing law
These Terms are governed by the laws of the United States and the State of California, without regard to conflict-of-laws principles. Disputes will be resolved in the state or federal courts located in Riverside County, California, and each party consents to their jurisdiction.
General
If any provision of these Terms is found unenforceable, it will be limited to the minimum extent necessary and the remaining provisions will stay in full effect. These Terms, together with the Privacy Policy and any separate written agreement between a Shop and Ascension, are the entire agreement between you and Ascension regarding the Service. You may not assign these Terms without our prior written consent; we may assign them in connection with a merger, acquisition, or sale of assets. Our not enforcing a provision of these Terms is not a waiver of our right to enforce it later.
Changes to these Terms
We may update these Terms from time to time. When we do, we will revise the effective date above and, for material changes, provide additional notice. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
